General Terms and Conditions

These General Terms and Conditions, together with the Privacy Policy (available on the Your City Guide website), govern the use of the Your City Guide online platform (“YCG Platform”), which can be accessed through (i) www.yourcityguide.fi and other Your City Guide websites (collectively the "YCG Website"), and (ii) Your City Guide apps (“YCG Apps”).

The YCG Platform is available worldwide. Certain portions of these terms apply only to users residing in a specific country or region.

1. About Us

We, Nparts Ltd, operating under the brand "Your City Guide", located at Sipolantie 29, 96100 Rovaniemi, Finland, are the operators and responsible for the YCG Platform. Our platform is available worldwide in multiple languages and is quick and easy to use. We offer a variety of city-related services through the platform, including activity booking services, self-service kiosks, and other digital city experiences.

2. Scope

2.1 These terms apply to all visitors to and users of the YCG Platform and all content within the operating systems (currently iOS, Android, Linux) ("Users"). By using the YCG Platform, you agree to comply with these terms. Please read them carefully during your first use.
2.2 These terms are available online and apply to all of our services, unless more specific terms apply to a particular service. If this is the case, we will inform you accordingly.
2.3 The use of the YCG Platform is personal, and it is prohibited to use it for commercial purposes, such as reselling or rebooking activities.

3. Our Operations

3.1 On the YCG Platform, you can view and book activities such as guided tours, tickets to local attractions, accommodation services, public transportation, and other services provided by local suppliers (“Activity”). The contract for the provision of the Activity is made directly between you and the supplier (“Service Agreement”). When you book an Activity, you are purchasing it directly from the supplier, not from us. We only act as an intermediary in this process.
3.2 We provide tools for filtering and searching for Activities according to your preferences. Activities are displayed based on factors such as popularity, availability, ratings, and performance.
3.3 For any questions related to your bookings, you can contact our customer service via the YCG Platform. We will respond promptly to assist you with any questions or issues.

4. Registration

4.1 Our platform does not require registration.
4.2 Your personal information is used to complete your order and provide customer service.

5. YCG Apps

5.1 By downloading and using the YCG Apps, we grant you a limited, non-exclusive, revocable, and non-transferable license to use the Apps for personal and non-commercial purposes.
5.2 We may release updates to the YCG Apps, and you are encouraged to download and install them promptly.
5.3 Data collected through the YCG Apps will be processed according to our Privacy Policy.

6. Conclusion of contract with Your City Guide- User Agreement

6.1 The subject of the contract is the free use of the YCG Platform (“User Agreement”).
6.2 The agreement is formed immediately when you use the YCG Platform. You can close your account or stop using the platform at any time by contacting our customer service.

7. Customer Service

7.1 You can reach our customer service via the YCG Platform if you need assistance.

8. Payment at Your City Guide

8.1 The price for the Activity is displayed on the YCG Platform and is paid upon booking.
8.2 Payments are processed securely, and you must ensure that the payment details are correct.
8.3 For selected activities, you may have the option to choose the “Reserve now, pay later” feature. This is only possible with a credit card valid until at least the date of the selected activity. To confirm this, we will charge 0 EUR to your credit card when you complete your booking. We will charge the booking price (1) one month after the booking is made.
8.4 We are entitled to receive the invoiced amounts on behalf of the Supplier (as a commercial agent), unless otherwise specified in the Supplier's invoice. By making the payment to Your City Guide, you have fulfilled your payment obligations to the Supplier with a discharging effect. If the amounts are to be paid in a currency other than your local currency (foreign currency claim), Your City Guide may (as a commercial agent) collect payment in your local currency and convert the foreign currency claim at the exchange rate in effect at the time of the contract conclusion. For highly volatile currencies, we may charge a reasonable exchange fee.
8.5 We are your contact for the Service Agreement and related payments as the commercial agent of the Supplier. If you wish to request a refund of the booking price outside of our cancellation policy, you can contact us. We will then contact the Supplier, and the Supplier will decide at its discretion whether to honor the refund request. A refund granted by the Supplier can be processed through us.

9. Changes and Cancellations

9.1 Cancellations and changes must be made according to the Supplier's terms.
9.2 If the Supplier allows cancellations or changes, these must be requested through the YCG Platform. Please carefully check the Supplier’s terms before booking.
9.3 Unless specified otherwise in the description of the Activity on the YCG Platform, the Supplier's terms, or the Activity’s voucher/ticket, the following cancellation conditions apply:
a) Cancellations made more than 72 hours before the start of the Activity: full refund of the booking price; and
b) Cancellations made 72 hours or less before the start of the Activity or in case of no-show: no refund.
9.4 Refunds after cancellation will be issued using the original payment method used to purchase the Activity.

10. Reviews and User Content

10.1 We offer the opportunity to leave reviews for the activities you have booked. Reviews must reflect your true experience and comply with our guidelines.
10.2 All uploaded content, such as photos and reviews, must respect intellectual property rights and comply with laws.

11. Data Protection

11.1 We collect personal information through the YCG Platform and process it according to our Privacy Policy. We share data with suppliers to fulfill the Service Agreement.

12. Indemnification

12.1 You agree to indemnify us against any claims, damages, or costs that arise from the misuse of the YCG Platform, breach of these terms, or infringement of third-party rights.

13. Assignment

You may not transfer your rights or obligations under these terms without our written consent.

14. Severability Clause

If any provision of these terms is or becomes invalid or ineffective in whole or in part, this will not affect the validity of the remaining provisions. Law will replace provisions not included or invalid. If such law is unavailable or would lead to an unacceptable result, the parties will negotiate to replace the invalid provision with a valid provision as close as possible to the economic intent of the invalid provision.

15. Supplier - Service Agreement

15.1 When you book an Activity, you enter into an agreement directly with the Supplier. We only act as an intermediary.
15.2 After checking the availability of the Activity, you add the respective Activity to the shopping cart by clicking the “Add to cart” button. After clicking the “Checkout” button, you will be asked for additional mandatory information, including the payment method, which must be completed.
15.3 By clicking the “Pay now” button at the end of the ordering process, you submit a binding offer to enter into a Service Agreement with the Supplier who will provide the Activity. You are bound to the offer for two working days. After receiving the offer, we will send you an automatic order confirmation on behalf of the Supplier. This order confirmation does not constitute acceptance of the offer.
15.4 Suppliers may provide their own terms in their respective listings on the YCG Platform. Please read these Supplier's terms carefully as they may contain important information for you, such as cancellation options or conditions. Nothing in the Supplier's terms shall affect your relationship with us or our legal rights.
15.5 We accept the offer on behalf of the Supplier when you receive a booking confirmation issued in the name of and on behalf of the Supplier and, if applicable, have access to a voucher or ticket (either a mobile voucher or a downloadable PDF voucher/ticket) and a payment confirmation. We reserve the right to accept or reject contract offers at our discretion.
15.6 The contract between you and the Supplier is not set out in a separate contract text. The content of the contract results from the ordered product (i.e., the description of the Activity selected by you), the applicable provisions in Section 15 of these terms, and – if applicable – the Supplier’s terms.

16. Prices

16.1 In most cases, the posted prices include all taxes and fees. However, additional local taxes or fees may be charged locally. If additional taxes or fees will be charged locally, this will be disclosed in the description of the Activity.
16.2 Posted prices set by Suppliers may include specific provisions, for example, regarding cancellations and the refund of payments. You must independently check before booking if the Supplier has any differing conditions.

17. Provision of the Activity

17.1 You must arrive on time at the meeting point indicated by the Supplier. Please also note the Supplier's terms. If you are traveling to the Activity from abroad, you are responsible for necessary travel documents (passport, visa, etc.) and complying with health or other requirements.
17.2 The booking price does not include any type of insurance. You are responsible for obtaining adequate insurance coverage. We strongly recommend purchasing travel insurance, especially if you are booking an Activity that involves outdoor or high-risk activities. We do not operate tours, employ guides, or set safety standards for Activities.
17.3 Suppliers are independent contractors and not agents or employees of Your City Guide. We are not liable for any acts, errors, omissions, representations, warranties, breaches, negligence, or misconduct of any Supplier, or for any personal injury, death, property damage, or other damages or expenses resulting from any booking or Activity.
17.4 For time and deadline calculations, the time zone of the Supplier is decisive.

18. Supplier’s Additional Rights

18.1 The Supplier may cancel the Activity on the agreed date without observing a cancellation period if weather conditions, official measures, strikes, or other external circumstances, which are unforeseeable or can only be avoided by disproportionate efforts by the Supplier and are beyond the Supplier's control (in particular cases of force majeure), make it impossible or significantly hinder or endanger the performance of the Activity. In this case, the booking price for the canceled Activity will be refunded. You may direct any additional compensation request directly to the Supplier as per Section 17.3.
18.2 The Supplier may exclude you from an Activity if (i) you do not meet the participation requirements specified on the YCG Platform, (ii) you would endanger yourself or others through your participation, or (iii) you disrupt the implementation of the Activity in any way. In these cases, the booking price for the Activity will not be refunded.
18.3 The Supplier may make insignificant changes to the program of the Activity at any time if this is necessary due to circumstances arising at short notice. Insignificant program changes include a change of the starting/meeting point for the Activity, provided that the new meeting point can be reached by the customer from the originally agreed meeting point on foot or by public transport within 15 minutes.

19. Final Provisions

19.1 These terms may change in the future. We will inform you of changes. If you do not accept the changes, you can stop using the platform immediately.
19.2 All disputes will be governed by Finnish law.
19.3 The contract between you and us is made and executed in Rovaniemi, Finland.
19.4 In these terms, (i) "including" means "including but not limited to", (ii) general words shall not be given a restrictive meaning by reason of the fact that they are preceded by words indicating a particular class of acts, matters or things, and (iii) words suggesting the singular include the plural, and vice versa. Captions and section headings used in these terms are for convenience only and shall not be used in construing the terms.
